1. General Provisions

1.1 The agreed fees are due at the specified times, regardless of the project’s progress.

1.2 The obligation to pay fees begins upon delivery of the software (“Ready for Use”), unless otherwise specified.

1.3 The software is deemed delivered as soon as the customer has been granted access to the agreed-upon system environment and the software is generally operational.

1.4 Actual use of the software by the customer is not required for the fees to become due.

1.5 Delays attributable to a lack of cooperation on the part of the Customer or to third parties shall not affect the due date of the payment.

1.6 All amounts are net plus applicable sales tax.

1.7 Ongoing license and service fees (SLA) begin upon provision of the software and are due monthly in advance, unless otherwise specified.
